1. Acceptance of Terms

Welcome to My Franchise Business Coach, operated by United Franchise Holdings. By accessing or using our franchise business coaching platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

These Terms constitute a legally binding agreement between you and United Franchise Holdings governing your access to and use of My Franchise Business Coach, including any content, functionality, and services offered.

2. Description of Services

My Franchise Business Coach is a business intelligence and coaching platform for franchise operations, operated by United Franchise Holdings, including:

• Financial performance tracking and analytics
• Integration with accounting software including QuickBooks Online
• AI-powered business coaching and insights
• Benchmark comparisons across franchise locations
• Goal setting and performance monitoring tools
• Reporting and dashboard capabilities

3. Account Registration

3.1 Account Creation

To use the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify us immediately of any unauthorized access or use of your account.

3.3 Account Types and Access Levels

Access to Platform features may vary based on your role (e.g., Franchisor Admin, Business Coach, Location Manager). Your franchisor organization determines your access level and permissions.

4. User Responsibilities

As a user of the Platform, you agree to:

• Use the Platform only for lawful business purposes
• Provide accurate and complete financial and business data
• Maintain the security of your account credentials
• Comply with all applicable laws and regulations
• Not attempt to access accounts or data belonging to other users
• Not interfere with or disrupt the Platform's operation
• Not reverse engineer, decompile, or attempt to extract source code
• Not use automated systems to access the Platform without permission

5. QuickBooks Integration

5.1 Read-Only Data Access

My Franchise Business Coach integrates with Intuit QuickBooks Online to import financial data for analytics and performance benchmarking. This integration is strictly read-only. We do not create, modify, delete, or otherwise write any data to your QuickBooks account. By connecting your QuickBooks account, you:

• Authorize us to read financial data from your QuickBooks Online account, including profit & loss statements, balance sheets, and revenue and expense summaries
• Acknowledge that this data is used solely for analytics, benchmarking, and coaching insights within the Platform
• Confirm that QuickBooks Online is a third-party service operated by Intuit Inc., subject to Intuit's own terms and privacy policy
• Accept responsibility for the completeness and accuracy of your QuickBooks data
• Understand that you may disconnect this integration at any time from your Platform account settings, which will immediately revoke our access

5.2 Data Use Limitations

QuickBooks data accessed through the integration is used only to:

• Populate your financial dashboards and performance reports
• Calculate industry benchmarks across franchise locations (in aggregate and anonymized form)
• Provide AI-generated business coaching insights specific to your location

We do not sell, license, or share your individual QuickBooks data with any third party outside your franchise network.

5.3 Other Third-Party Services

Your use of any third-party integrations is subject to those services' own terms and conditions. We are not responsible for third-party service availability, functionality, or data handling practices.

6. Intellectual Property

6.1 Platform Ownership

My Franchise Business Coach, including its design, features, content, and underlying technology, is owned by United Franchise Holdings and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose.

6.2 Your Data

You retain ownership of your business data. By using the Platform, you grant us a license to use, process, and display your data as necessary to provide our services.

7. Fees and Payment

Access to the Platform may be subject to subscription fees as determined by your franchise agreement or separate service agreement. Payment terms, billing cycles, and pricing are specified in your applicable agreement.

We reserve the right to modify pricing with reasonable notice. Continued use after price changes constitutes acceptance of new pricing.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not warrant that:

• The Platform will be uninterrupted, secure, or error-free
• Results obtained from the Platform will be accurate or reliable
• Any errors or defects will be corrected
• The Platform is free of viruses or harmful components

AI-generated insights and recommendations are for informational purposes only and should not be considered professional financial, legal, or business advice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITED FRANCHISE HOLDINGS AND MY FRANCHISE BUSINESS COACH SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Business interruption or losses arising from Platform use
• Actions taken based on AI-generated recommendations
• Third-party service failures or data inaccuracies

Our total liability for any claims shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless United Franchise Holdings and My Franchise Business Coach, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

11. Termination

11.1 By You

You may terminate your account at any time by contacting us or using the account deletion feature in the Platform settings.

11.2 By Us

We may suspend or terminate your access immediately, without notice, for:

• Violation of these Terms
• Suspected fraudulent, abusive, or illegal activity
• Non-payment of fees
• At the direction of your franchisor organization

12. Governing Law and Disputes

These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

You agree to waive any right to participate in class action lawsuits or class-wide arbitration.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days before taking effect. Your continued use after changes become effective constitutes acceptance of the modified Terms.

14. Miscellaneous

• Severability: If any provision is unenforceable, the remaining provisions continue in effect.
• Waiver: Failure to enforce any right does not waive future enforcement.
• Assignment: You may not assign these Terms without our written consent.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement.
